Telenor Pakistan Merger Gets Final Approval from IHC

The Telenor Pakistan merger has moved a step closer to completion. The Islamabad High Court approved the amalgamation of Telenor Pakistan into Pak Telecom Mobile Limited, the company that operates Ufone>. The decision removes the final legal hurdle. As a result, the two telecom operators can begin full integration. The merged company will eventually retire both the Ufone and Telenor brands. Instead, it will operate under the e& brand. This change aligns Pakistan’s operations with the group’s international branding strategy.
According to a notice submitted to the Pakistan Stock Exchange, all assets, liabilities, and obligations of Telenor Pakistan will transfer to PTML. Therefore, the merged business will continue as a single operating company.

Merger Meets All Legal Requirements

The court also approved the cancellation of Pakistan Telecommunication Company Limited’s shareholding in Telenor Pakistan. After the merger is completed, Telenor Pakistan will officially cease to exist as a separate legal entity.
Earlier, the Pakistan Telecommunication Authority issued its final no-objection certificate. That approval cleared the way for operational integration. Justice Khadim Hussain Soomro ruled that the merger satisfies the requirements of the Companies Act, 2017. He also stated that the deal is fair to shareholders and creditors while serving the public interest. In addition, all secured creditors supported the merger by submitting no-objection certificates. The International Finance Corporation consortium also filed its approval with the Securities and Exchange Commission of Pakistan.
The approval marks a major milestone for Pakistan’s telecom sector. Once integration is complete, customers can expect both networks to operate under the unified e& identity.
